1. Acceptance and Scope of Terms
These Terms of Service (the "Terms") govern the access and use of the ONEX platform (the "Platform") and the cross-border B2B settlement services (the "Services") provided by ONEX.
By registering an account, integrating our API, or initiating a transaction, you represent that you are an authorized representative of a corporate entity (the "Client") and that you agree to be legally bound by these Terms.
2. Eligibility and Prohibited Use
ONEX provides Services exclusively to registered corporate entities for the purpose of foreign economic activity (ВЭД) and international supplier payments.
- Corporate Use Only: Our Services are not available to individual consumers for personal, family, or household use.
- Prohibited Jurisdictions: We do not onboard Clients or execute settlements to entities located in comprehensively sanctioned jurisdictions (e.g., as defined by OFAC, UN, or EU sanctions lists).
- Prohibited Industries: You agree not to use ONEX for transactions related to weapons manufacturing, unregulated gambling, adult entertainment, illegal narcotics, or any activity that constitutes money laundering or terrorism financing.
3. KYC/KYB and Compliance Obligations
To comply with global Anti-Money Laundering (AML) and Counter-Terrorism Financing (CFT) laws, ONEX requires comprehensive Know Your Business (KYB) verification before activating your account.
- You must provide accurate corporate registration documents, director identifications, and Ultimate Beneficial Owner (UBO) structures.
- You agree to promptly update ONEX within 14 days if there is any material change to your corporate structure or directorship.
- ONEX reserves the right to request additional documentation, such as the source of funds or specific supplier invoices, for any transaction flagged by our compliance monitoring systems.
4. Transaction Execution and Exchange Rates
ONEX facilitates fiat and digital asset bridges to settle international invoices.
- Minimum Thresholds: Unless otherwise agreed in writing, the minimum transaction volume is $10,000 USD (or equivalent).
- Exchange Rates: Foreign exchange (FX) rates are locked dynamically at the time the transaction is confirmed on the Platform. Once confirmed, the rate is binding.
- Settlement Timelines: While ONEX strives to deliver funds within 24 to 48 hours, we are not liable for delays caused by third-party correspondent banks, SWIFT network outages, or mandatory regulatory holds initiated by the receiving institution.
5. Fees and Taxes
All applicable fees, including FX spreads and network routing fees, are displayed transparently before transaction execution. The Client is solely responsible for determining, collecting, reporting, and remitting any applicable taxes to the appropriate tax authorities in their respective jurisdictions. ONEX is not responsible for withholding taxes on international supplier invoices.
6. Account Suspension and Termination
ONEX reserves the right to suspend or terminate your account, freeze in-transit funds, or refuse to process a transaction without prior notice if:
- We reasonably suspect the account is being used for illegal, fraudulent, or unauthorized activities.
- You fail to provide requested compliance or invoice documentation.
- You breach any material provision of these Terms.
7. Limitation of Liability
To the maximum extent permitted by law, ONEX and its affiliates, directors, and banking partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities arising out of or related to your use of the Services. ONEX's total aggregate liability for any claim arising out of these Terms shall not exceed the total fees paid by the Client to ONEX in the three (3) months preceding the event giving rise to the claim.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the ONEX operating entity is registered. Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the rules of the designated international arbitration center specified in your master service agreement.
